Rounds Terms of Service

These Terms of Service ("Terms") govern your use of Rounds, an app operated by Klinica LLC ("Klinica," "we," "us," or "our"). By creating an account or using Rounds, you agree to these Terms. If you don't agree, don't use Rounds.

1. What Rounds Is — and Isn't

Rounds is an educational tool for medical residents and students, offering AI-assisted procedure preparation, SOAP documentation practice, and clinical reasoning coaching.

Rounds is not: a clinical documentation system, electronic health record, or system of record for patient care; a substitute for your institution's approved documentation tools, policies, or protocols; a substitute for attending supervision, clinical judgment, or your own medical training; or a diagnostic tool. The Clinical Reasoning Coach is designed to help you build and critique your own reasoning through questions — it will never tell you a diagnosis, and nothing it generates should be treated as one.

2. Eligibility and Registration

Rounds is available to medical residents, students, and trainees affiliated with institutions we've approved. Registration requires an email address from an approved institutional domain. You must provide accurate information and are responsible for keeping your login credentials secure and for all activity under your account.

3. Prohibited Uses

You agree not to:

Enter real patient-identifying information (PHI) anywhere in Rounds — including names, MRNs, dates of birth, room/bed numbers, or any other identifier, in any field, including free-text notes. Rounds is built to avoid PHI entirely, and entering it violates these Terms.
Use Rounds as a substitute for your institution's clinical documentation systems, or rely on it as part of an official patient record.
Rely on AI-generated content as a substitute for verified clinical protocols, attending supervision, or your own clinical judgment.
Attempt to access another user's account or data, or interfere with the security or operation of the app.
Use Rounds for any illegal purpose, or to generate harmful, abusive, or illegal content.
Reverse-engineer, scrape, or attempt to extract the underlying models, prompts, or source code behind Rounds' AI features.

We may suspend or terminate your account if you violate these Terms, particularly the PHI restriction above.

4. AI-Generated Content

Procedure prep guides, SOAP draft sections, and Clinical Reasoning Coach responses are generated by AI and are provided for educational purposes only. AI-generated content may be incomplete, outdated, or contain errors. Always verify clinical information against authoritative sources and your institution's protocols before relying on it in any real clinical context — Rounds' AI output is never a substitute for that verification.

5. Your Content

You retain rights to the content you create in Rounds. By using Rounds, you grant Klinica the license needed to store, process, and display your content back to you in order to provide the app's features (including sending relevant text to our AI providers as described in our Privacy Policy).

Procedure prep guides you generate become part of Rounds' shared educational library, viewable by other users, since they contain no personal or patient information — just generic clinical education content. If you delete your account, your authorship of these guides is removed, but the guides themselves remain.

6. Third-Party Services

Rounds relies on OpenAI, Google (YouTube Data API), and Supabase to operate. Your use of Rounds is also subject to the extent those providers' own terms apply to content processed on your behalf. See our Privacy Policy for details on what each provider processes.

7. Account Termination

You may delete your account at any time from Profile Settings, or by emailing us. We may suspend or terminate your account for violation of these Terms, extended inactivity, or if we discontinue Rounds. Our Privacy Policy describes what happens to your data when your account is deleted.

8. Disclaimers

ROUNDS IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED CONTENT IS ACCURATE, COMPLETE, OR CURRENT, AND WE ARE NOT RESPONSIBLE FOR ANY CLINICAL DECISION MADE IN RELIANCE ON CONTENT FROM ROUNDS. ROUNDS IS AN EDUCATIONAL TOOL, NOT MEDICAL ADVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLINICA LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING FROM YOUR USE OF ROUNDS — INCLUDING ANY DAMAGES RESULTING FROM RELIANCE ON AI-GENERATED CONTENT OR FROM ENTERING PROHIBITED INFORMATION IN VIOLATION OF SECTION 3.

10. Indemnification

You agree to indemnify and hold Klinica LLC harmless from any claim arising from your violation of these Terms, including any claim related to entering PHI or other prohibited information in violation of Section 3.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

12. Changes to These Terms

We may update these Terms from time to time. We'll update the "Last updated" date above, and for material changes, we'll make a reasonable effort to notify active users in-app.
